Notice of Annual General Meeting and Nominations to the Board:
Caravan Industry Association of Western Australia Inc.
Please be advised of our upcoming Annual General Meeting (AGM) as listed below and nominations to the Board of the Caravan Industry Association of Western Australia Inc (CIAWA) are being invited.
2019 ANNUAL GENERAL MEETING
The details of this meeting are as follows:
Date: Friday, 6th December 2019
Time: 4:30pm – Arrival and Registration. 5:00pm – AGM commences
Place: CIAWA Office – Unit 6, 35 Tamara Drive, Cockburn Central, Western Australia

At the meeting, members will have the opportunity to:
- Find out about CIAWA’s operations and finances;
- Speak about any items on the agenda;
- Vote on any resolutions proposed.
At the meeting, members will be asked to vote to:
- Accept the Minutes of the 2018 Annual General Meeting;
- Accept the Minutes of the 2019 Special General Meeting;
- Accept the 2018-2019 Auditor’s Report;
- Accept the 2018-2019 Annual Financial Statements;
- Appoint an Auditor for the 2019-2020 Financial Year.
BOARD NOMINATIONS PROCESS
The Board Nomination process has changed due to the introduction of the new Constitution at the 2019 Special General Meeting held on Wednesday, 20th March 2019. All current Board members will stand down at the 2019 AGM in accordance with Clause 12.7(a).
Nominations are hereby called to fill twelve (12) positions on the Board of Caravan Industry Association Western Australia, which will be declared vacant at the next AGM due to the introduction of the new Constitution. Following Clause 10.2(a), the new Board will consist of:
a. 6 Board Members who are Trade Members or persons appointed to represent an Organisation that is a Trade Member; and
b. 6 Board Members who are Parks Members or persons appointed to represent an Organisation that is a Park Member.
Each Board Member of the Association shall be elected for a 2-year term with elections for all 12 Board Member positions being held and declared at the first AGM after adoption of the new Constitution and after that AGM elections must be held at the AGM every second year.
Please note that all Office Holders being the President; Vice President – Parks; Vice President – Trades and the Treasurer will be elected by the elected Board Members at the next Board meeting following this AGM in accordance with Clause 12.8(e).
Nominations are now open for election to the Board of Caravan Industry Association Western Australia. Twelve (12) elected positions are available for a two-year period 2019-2021.
In accordance with Clause 10.2(c), a Board Member must be:
i. a natural person;
ii. over 18 years of age;
iii. satisfy any minimum requirements set by the Board pursuant to Rule 10.2(d); and
iv. be either:
a. a General Member; or
b. a Corporate Member; or
c. a Life Member; or
d. a person appointed under Rule 6.3(a) and who has authority to represent an Organisation as a General Member or a Corporate Member.
Board nominations and nominees are open to current financial General; Corporate; or Life Members only. Your membership fee should have been paid in full by Monday, 30th September 2019 if you wish to nominate or be nominated for a Board position.

Nominations close at 4.30pm (AWST) on Thursday, 17th October 2019. Nominations received by Caravan Industry Association Western Australia after this time and date will not be accepted.
Should more than six (6) eligible General Park Member and/or six (6) eligible General Trade Member eligible nominations be received, a ballot will be necessary. The vote will be conducted by electronic ballot which will open Thursday, 24th October 2019 and close at 4.30pm (AWST) on Thursday, 14th November 2019.
The electronic ballot will be distributed via the email address of the primary contact of the General Member in the Caravan Industry Association Western Australia membership database. Caravan Industry Association Western Australia will engage the online program ‘Election Runner’ to conduct the electronic ballot.
ELIGIBILITY TO VOTE IN BOARD ELECTION
General Members must have paid all outstanding membership fees to be eligible to vote. Only financial General; Corporate; or Life Members of the Caravan Industry Association Western Australia can vote in the Board Election.
Each General Member or Life Member receive one vote. Below is the vote breakdown for Corporate Members:
• 2-5 Businesses – One vote
• 6-10 Businesses – Two votes
• 11 or more Businesses – Three votes
The primary contact of the General; Corporate; or Life Member in the Caravan Industry Association Western Australia membership database will receive the electronic ballot. Multiple Corporate Members may authorise the same primary contact for their businesses.
Please note that Associate Members are not eligible to vote.
